Purpose

Flow-Rite Controls is committed to ethical business practices and social and environmental responsibility and expects its current and future Suppliers to uphold these principles, or equivalent standards, and to communicate and enforce them throughout their own supply chains.

This Supplier Code of Conduct outlines Flow-Rite Controls’ expectations for how suppliers, vendors, contractors, consultants, service providers, licensors, and anyone acting on their behalf (collectively, “Suppliers”) conduct business with Flow-Rite Controls. Suppliers are expected to operate with integrity, accountability, and respect, and to comply with all applicable local, state, federal, and international laws and regulations governing their operations and the goods or services provided to Flow-Rite Controls.

Labor and Human Rights

Flow-Rite Controls is committed to upholding internationally recognized human rights and to comply with all applicable labor and employment laws. Suppliers must not use forced, bonded, indentured, involuntary prison, or trafficked labor, nor employ child labor.

Flow-Rite Controls requires Suppliers to provide wages, benefits, and working hours in compliance with applicable laws, maintain a workplace free from harassment, discrimination, and abuse, and respect employees’ rights to freedom of association and collective bargaining, where permitted by law. Retaliation against individuals who raise concerns or report potential violations is strictly prohibited

Health & Safety

Flow-Rite Controls stives to provide a safe and healthy working environment for all employees, consistent with the standards we maintain for our own workforce. Suppliers must comply with applicable health and safety laws and regulations, identify and mitigate workplace hazards, provide appropriate safety training and personal protective equipment, and maintain emergency preparedness procedures. Unsafe working conditions must be promptly addressed to prevent injuries, illnesses, and accidents.

Environmental Responsibility

Flow-Rite Controls is committed to operating in an environmentally responsible manner and to complying with all applicable environmental laws and regulations. We expect our Suppliers to support this commitment by responsibly managing waste, emissions, and hazardous materials; minimizing environmental impact to protect air, water and soil; and promoting the efficient use of natural resources, including energy and water. Use of renewable energy sources is encouraged. Environmental risks associated with operations should be identified, monitored, and reduced where feasible.

Noise Emissions

Flow-Rite Controls manages noise emissions in a manner that protects employee health, community well-being, and the environment. Suppliers must comply with all applicable occupational and environmental noise regulations and take reasonable steps to monitor, control, and reduce excessive noise generated by their operations, equipment, or facilities. Where required, appropriate controls, training, and protective measures must be implemented to minimize exposure to harmful noise levels.

Ethics & Business Integrity

Flow-Rite Controls conducts business ethically and with integrity. Bribery, corruption, kickbacks, extortion, or any form of improper payment are strictly prohibited. Suppliers must comply with applicable anti-bribery, anti-corruption, and fair competition laws and avoid conflicts of interest or situations that could improperly influence business decisions involving Flow-Rite Controls.

Confidentiality & Data Protection

Flow-Rite Controls expects Suppliers to protect confidential, proprietary, and sensitive information obtained through the business relationship. Suppliers must use such information only for authorized purposes and safeguard personal and business data in accordance with applicable data protection and privacy laws.

Quality & Product Integrity

Flow-Rite Controls expects Suppliers to meet agreed-upon quality, safety, and performance requirements. Suppliers must maintain appropriate quality management systems, promptly report any actual or potential quality issues, nonconformances, or risks, and take corrective action when necessary to ensure product and service integrity.

Conflict Minerals

Flow-Rite Controls is committed to responsible mineral sourcing and expects its Suppliers to source tantalum, tin, tungsten, and gold in accordance with applicable laws and recognized industry standards. Suppliers must exercise reasonable due diligence to help ensure these minerals do not contribute to human rights abuse.

Assistance and Cooperation

Flow-Rite Controls expects its Suppliers to provide reasonable assistance and to cooperate fully with any investigation, audit, or due diligence effort conducted by or on behalf of Flow-Rite Controls, including investigations of alleged or suspected violations of this Supplier Code of Conduct or applicable laws. Suppliers must allow Flow-Rite Controls reasonable access to documentation and information related to their compliance with this Code and any work performed on Flow-Rite Controls’ behalf. Any violation of, or failure to comply with, this Supplier Code of Conduct may result in corrective action, suspension, or termination of the business relationship, regardless of any conflicting contractual terms.

Ensuring Compliance

Flow-Rite Controls expects Suppliers to communicate this Supplier Code of Conduct to their employees, agents, and subcontractors involved in supporting Flow-Rite Controls and to take appropriate steps to ensure ongoing compliance throughout their operations and supply chains.
